DUPONT FEELS INSULTED AND RESPONDS

 

The following response to Kenneth Henley’s letter to the editor was submitted by DuPont’s Senior VP of HR, Don Johnson, and printed in the Wilmington News Journal on April 28, 2010.

 

Inaccuracies In Opinion Regarding

DuPont’s Board

 

Kenneth Henley misrepresented the truth throughout his Delaware Voice “DuPont Board members’ compensation is exorbitant”. It was riddled with so many inaccuracies that I felt compelled to set the record straight with facts.. While Mr. Henley’s comments about DuPont’s compensation and benefits programs were misleading, I want to focus on his uninformed remarks about our Board of directors.

DuPont benchmarks - compared with other multinational companies - on compensation for Board members to ensure competitiveness. DuPont Board compensation is at the market median.

Interestingly, Mr. Henley chose to focus on dated 2008 compensation, not 2009  - the most recent year available. Perhaps it is because Board members, executive leaders and exempt, salaries and professional employees experienced compensation reduction in 2009, in the face of the economic recession.

Additionally, Board members responsibilities are clearly communicated in DuPont’s Corporate Governance Guidelines, which can be found on our website and in the DuPont Proxy Statement.

Mr. Henley implied that Board members are not required to participate in meetings and their responsibilities are unclear. A review of our Governance Guidelines would confirm that both statements are untrue. For the record, there were seven Board meetings and up to six meetings for each Board committee in 2009. Attendance at these meetings averaged 99 percent.

The DuPont Board, composed of highly talented and accomplished individuals, provides diverse perspectives, works diligently to guide our company, and advances the interests of shareholders.
